1. Provider Identity and Nature of the Service
1.1. Noctorial is an educational company that provides educational programs, study materials, and challenges/evaluations (“Challenges” or “Exams”) in demo/simulated trading environments that replicate real market conditions, solely for educational and skill assessment purposes.
1.2. Noctorial does not manage its own or third-party capital, does not raise or custody investment funds, and does not provide investment, intermediation, brokerage, financial, or tax advising services to end users under these Terms.
1.3. The trades executed by the user on the platform within Noctorial's programs are carried out only on demo/simulated accounts, with fictitious funds, without access to real markets, and without transmission of orders to the market.
1.4. Any brokerage service, market execution, or client relationship with a broker (if any) will be the subject of a separate contract and is not included in these Terms.
2. Corporate Structure and Related Entities
2.1. The educational services, the website, the educational content, and the organization of challenges/evaluations are managed by:

3. Acceptance of Terms and Eligibility
3.1. The use of the site and/or the purchase of programs implies the full acceptance of these Terms. If you do not agree, do not use the Services.
3.2. The Service is intended for individuals over 18 years of age. By registering, you confirm that you meet this requirement and that you are accessing from an allowed country (see Section 21).
4. Description of Educational Services
4.1. Noctorial offers: (i) educational content (video, text, webinars, downloadable materials), (ii) access to demo/simulated accounts with parameters and rules that emulate market practices, and (iii) evaluations or Challenges to assess skills.
4.2. Passing a Challenge may grant access to academic benefits (for example, passes, badges, access to advanced levels, educational rewards) or opportunities within the educational ecosystem. It does not guarantee capital management or automatic access to live accounts.
4.3. The Challenge parameters (simulated profit targets, simulated daily/overall drawdown limits, minimum trading days, permitted instruments, trading hours, etc.) are published on the website/private area and may vary by program.
5. Service Activation and Delivery of Credentials
5.1. Following payment, the user will receive credentials for the private area/demo platform.
5.2. By logging in and/or opening the first demo trade, the user starts the service and consents to the full delivery of the content and access, with the consequences outlined in the cancellation and refund policy (Section 12).
6. Challenge Rules (Demo/Simulated Environments)
6.1. To pass a Challenge, the user must simultaneously meet the parameters published for their plan (e.g., simulated profit target, simulated maximum daily loss, simulated maximum total loss, minimum days, etc.).
6.2. The following will not be considered for the calculations: (i) trades that violate these rules, (ii) trades affected by prohibited practices (Section 7), (iii) manifest errors in the simulated feed.
6.3. Failure to meet any of the parameters implies a failed result of the Challenge.
7. Prohibited Trading Practices (in Simulation)
7.1. The following are prohibited in demo/simulated accounts:
a) Latency arbitrage, reverse or hedge arbitrage; abusive gap trading.
b) Tick scalping and overnight scalping based on rollover when the goal is to exploit micro-lags in the simulated feed.
c) Manipulating prices or attempting to exploit delays/errors in the feed, or unauthorized external data sources.
d) Coordinated copy-trading between users to bypass limits or replicate identical strategies systematically; use of multiple identities; account stacking to bypass rules.
e) Use of third-party EAs/robots executing prohibited or high-frequency/ultra-low latency strategies designed to exploit the simulator; emulators or technologies that interfere with the network.
f) Disproportionate overleveraging, unilateral betting without a plan, repeated overexposure, or any trading that does not reflect reasonable practices in a live environment.
7.2. Detection of prohibited practices may result in: (i) exclusion of trades from calculations, (ii) suspension of access, (iii) termination of the Challenge, without right to a refund (see Section 12).
7.3. Noctorial may reduce simulated leverage, limit instruments, or revoke access in the event of repeated violations.
8. Educational Purpose. No Advising/Intermediation
8.1. Noctorial does not offer advice on investments, nor personalized recommendations. All information is provided for educational purposes.
8.2. Any past performance in demo does not guarantee future results in live markets.
8.3. No payment made to Noctorial constitutes a deposit, investment, fundraising, or capital management.
9. Intellectual Property and License of Use
9.1. All content, trademarks, logos, software, designs, and materials are the property of Noctorial or its licensors.
9.2. A limited, non-exclusive, non-transferable, and revocable license is granted for personal and non-commercial use of the content, solely for completing the educational programs.
9.3. Copying, distribution, sublicensing, reverse engineering, scraping, or any unauthorized use remains prohibited.
10. User Account and Security
10.1. The user must maintain the confidentiality of their credentials and cannot assign/transfer their account.
10.2. It is prohibited to create multiple accounts to bypass rules. Noctorial may block or delete accounts in case of non-compliance.
11. Accuracy of Information and Third Parties
11.1. Noctorial makes reasonable efforts to maintain the accuracy of the content, without guaranteeing that it is error-free.
11.2. Third-party links or tools are unrelated to Noctorial. The use of external resources is at the user's own risk.
12. Cancellation and Refund Policy
12.1. All payments are final and non-refundable once: (i) credentials have been delivered, (ii) you have logged into the platform, and/or (iii) the first demo trade has been executed or digital content has been accessed.
12.2. If the account or content has not been accessed and activity has not begun, Noctorial may assess an exceptional refund at its sole discretion or when required by applicable consumer protection laws.
12.3. Before initiating a chargeback, the user must contact support (support@noctorial.com). Abusive chargebacks may result in a permanent block of accounts and/or actions to recover administrative and legal costs.
13. Pricing, Taxes, and Payment Methods
13.1. Prices are displayed on the website/checkout and include/exclude taxes as applicable.
13.2. Payments are processed through third-party providers. Noctorial does not store card data.
13.3. If a payment fails or is rejected, Noctorial is under no obligation to provide the service.
14. Delivery, Availability, and Maintenance
14.1. Access will be activated within the stated timeframes; delays may occur due to technical verification or migrations.
14.2. There may be interruptions due to maintenance, force majeure, or causes beyond the reasonable control of the Provider.
15. Personal Data and Privacy
15.1. Data processing is governed by the Privacy Policy published on the site.
15.2. The user declares to have read it and accepts the processing required for the delivery of the service.
16. Disclaimer and Limitation of Liability
16.1. The service is provided “as is” and “as available”. Noctorial does not guarantee results, continuity, or absence of errors.
16.2. To the maximum extent permitted by law, Noctorial will not be liable for indirect, incidental, punitive, loss of profits, loss of data, or any damages arising from the use of the service.
16.3. If liability is established, it is limited to the amount actually paid by the user for the specific program.
17. Compliance, Good Practices, and Sanctions
17.1. The user agrees to act in accordance with good practices and not to harm Noctorial's reputation.
17.2. Non-compliance with rules (Section 7 or others) authorizes Noctorial to restrict or withdraw access without compensation.
18. Consumer's Right of Withdrawal (if applicable)
18.1. When applicable law grants a right of withdrawal, the user loses it if they consent to the full performance of the digital service before the period expires (e.g., upon accessing the account or executing the first demo trade).
18.2. Withdrawal instructions and forms, when applicable, will be available on the website or upon request to support.
19. Modifications to the Terms
19.1. Noctorial may update these Terms. It will notify users of changes with reasonable advance notice when required.
19.2. Continued use after the effective date implies acceptance of the modified version.
20. Duration and Termination
20.1. The contract lasts until the user completes or leaves the corresponding Challenge/course or until its early termination.
20.2. Either party may terminate for a material breach by the other; Noctorial may terminate with immediate effect in case of rule violations or operational/legal risks.
21. Regional Restrictions
21.1. The services are not offered to residents/citizens of restricted jurisdictions (common examples: US, Canada, Cuba, Iran, North Korea, Syria, Sudan, Libya, Somalia, Lebanon, Pakistan, Vietnam, Myanmar, DR Congo, Russia, Belarus and those countries sanctioned or considered high-risk by GAFI/FATF), nor where their use violates local law.
21.2. Noctorial may reject or cancel registrations for reasons of compliance, sanctions, or risk.
22. Communications
22.1. Official communication will be via the private area or the email address provided by the user. Support: support@noctorial.com.
23. Assignment of Contract
23.1. Noctorial may assign or subcontract rights/obligations when necessary for business/compliance reasons.
23.2. The user cannot assign the contract without prior written consent.
24. Applicable Law and Jurisdiction
24.1. Users whose contract is with Hype Leads S.L.: these Terms are governed by the laws of the Principality of Andorra; the competent courts will be those of Andorra, without prejudice to mandatory consumer protection regulations.
24.2. Users whose contract is with Galilei Rogers LLC: laws of the State of New York (US); state/federal courts located in New York, NY.
24.3. Any brokerage service eventually contracted with Noctorial LTD will be exclusively governed by its independent legal documents under the laws of Saint Lucia. It is not part of these Terms.
25. Final Provisions
25.1. The invalidity of any clause will not affect the rest of the contract; it will be replaced by a valid one with an equivalent meaning.
25.2. These Terms constitute the entire agreement between the user and Noctorial regarding the educational service.
25.3. The temporary failure to enforce a right does not constitute a waiver.
25.4. The user declares that they have understood and accepted that the activity is educational, demo/simulated, without capital management or investment services.
Annex A — Definitions
Demo/simulated account: virtual environment with fictitious funds, without connection to the real market.
Challenge/Exam: evaluation program with rules and academic/simulated objectives.
Educational material: videos, guides, webinars, documents, and other educational resources.
Prohibited practices: strategies and conduct described in Section 7.
Merchant of Record/Payment Processor: entity that processes payments for the educational program.
