Terms and Conditions — Noctorial Referral Program ("Refer and Earn")
1. Purpose
These Terms and Conditions (hereinafter, the "Terms") govern the conditions for participating in the "Refer and Earn" referral program (hereinafter, the "Program"), offered by Noctorial to its registered users.
The Program allows participants to refer Noctorial to new traders using a personalized link, earning a commission for each valid purchase made through said link, and offering the referred user a benefit on their first purchase.
2. Organizer
The Program is organized by Noctorial LTD (a group entity in Saint Lucia; does not provide investment services through this Website) Registration: 2025-00299, with registered address at Ground Floor, The Sotheby Building, Rodney Village, Rodney Bay, Gros-Islet, Saint Lucia (hereinafter, "Noctorial").
3. Validity
The Program is valid indefinitely from the date of its launch. Noctorial reserves the right to modify, suspend, or cancel the Program at any time, in accordance with the provisions of Section 13 of these Terms.
4. Definitions
For the purposes of these Terms, the following definitions shall apply:
Ambassador: A registered user on Noctorial who participates in the Program by sharing their personalized link.
Referred User: A person who registers and acquires their first account on Noctorial by accessing it through an Ambassador's personalized link.
Personalized link: The unique URL generated in the Ambassador's dashboard in Axcera, within the "Refer and Earn" tab, which includes an automatic coupon with the applicable conditions of the Program.
Valid purchase: The first acquisition of an account by a Referred User through the Personalized link, completed, paid in full, and non-refundable.
Commission: The financial amount accrued by the Ambassador as a result of a Valid purchase made by a Referred User.
Balance: The total accumulated commissions available for withdrawal in the Ambassador's dashboard.
5. Eligibility Criteria
All individuals over 18 years of age registered as users on Noctorial may participate in the Program, regardless of whether or not they have an active account.
Participation in the Program is free and does not require the prior purchase of any product. Registration as a user implies tacit acceptance of these Terms.
6. How the Program Works
The Ambassador accesses their dashboard in Axcera and gets their Personalized link under the "Refer and Earn" tab.
The Ambassador shares the Personalized link with their contacts through the channels they deem appropriate, respecting the rules established in Section 11 of these Terms.
The Referred User accesses the Noctorial checkout page through the Personalized link and completes the purchase of their first account. The discount is applied automatically.
The corresponding Commission is automatically generated and accumulated in the Ambassador's Balance once the Valid purchase is confirmed.
The Ambassador can request to withdraw their Balance when it reaches the minimum established in Section 9.
7. Standard Benefits
7.1 Benefits for the Referred User
On the first account acquired through a Personalized link, the Referred User gets:
10% discount on the price of the account.
An improved profit split addon applied to said account.
Both benefits are applied automatically and exclusively on the first Valid purchase.
7.2 Benefits for the Ambassador
The Ambassador receives a Commission calculated on the price of the first account acquired by each Referred User. The applicable percentage depends on the level reached in the Program:

Level progression is automatic and remains permanent once reached. No level demotions are contemplated.
8. Special Promotion – Doubling of Benefits
As a promotional offer and for a limited time, Noctorial is activating a doubling of benefits under the Program on the following terms:
8.1 Validity
This promotion will be valid from May 19, 2026, to May 31, 2026, inclusive (23:59 Spanish Peninsula Time, CEST).
8.2 Double Benefits
During the promotional period:
The discount applicable to the Referred User on their first account increases from 10% to 20%.
The Commission earned by the Ambassador is doubled according to the following table:

The improved profit split addon is not affected by this promotion and remains under its standard conditions.
8.3 Application
The doubling applies to the date of the Valid purchase, not the date of registration of the Referred User or the generation date of the Personalized link. Therefore, only Valid purchases confirmed within the promotional period (Section 8.1) will yield the doubled benefit, both for the Ambassador and the Referred User.
Purchases after May 31, 2026, will be subject to the standard benefits defined in Section 7.
8.4 Non-accumulation
The benefits of this promotion can be combined with other active promotions, discounts, or coupons on Noctorial, unless expressly stated otherwise.
9. Commissions and Withdrawals
Commissions are earned solely on Valid purchases, as defined in Section 4.
Subsequent purchases made by the same Referred User (renewals, new accounts, upgrades, addons, etc.) do not generate additional commissions.
The minimum amount to request a withdrawal is 50 USD.
Commissions are calculated and paid out in USD.
The Ambassador may request a withdrawal from the "Refer and Earn" tab in Axcera, choosing one of the following methods:
Bank transfer.
Cryptocurrencies.
Withdrawal requests are processed on the same day they are made. The actual receipt timeframe will depend on the chosen method and the respective intermediary institutions.
Noctorial may request additional documentation from the Ambassador (including verification of identity and ownership of the withdrawal method) before processing a withdrawal, in compliance with applicable regulations.
10. Validity of Referrals
For a Referred User to be considered valid for the purposes of the Program, the following cumulative requirements must be met:
The Referred User must be a new customer for Noctorial, meaning they must not have pre-existed in its database as a customer.
The Referred User must have registered on Noctorial by accessing it through the Ambassador's Personalized link.
The Referred User must complete the purchase of their first account through said Personalized link.
Payment must be fully confirmed and not refunded.
The Referred User and the Ambassador must be different individuals, unrelated to each other in terms of identity, payment methods, devices, or IP addresses, and with no signs of coordinated action to gain improper benefits.
11. Grounds for Invalidating Commissions
Noctorial may invalidate generated Commissions, reverse them from the Ambassador's Balance, or, if applicable, demand their return under the following circumstances:
Refund, chargeback, or cancellation of the purchase that generated the Commission.
Detection of practices that, in Noctorial's reasoned judgment, seek to manipulate the referral attribution system. These include, but are not limited to:
Self-referencing or references between accounts linked to the same owner.
Creation of multiple accounts to simulate Referred Users.
Purchases made using payment methods not owned by the Referred User or with indications of fraud.
Mass distribution of the Personalized link on unauthorized channels (coupon aggregator sites, contextual out-of-place forums, spam, etc.).
Abnormal conversion patterns, serial purchases from the same domain or IP address, or any other reasonable indication of fraud.
Failure by the Ambassador or the Referred User to comply with any of the clauses of these Terms or the general Terms of Use of Noctorial.
In the cases provided for in this section, Noctorial may additionally suspend or cancel the Ambassador's participation in the Program.
12. Communications and Promotion of the Personalized Link
The Ambassador may share their Personalized link through the personal channels they deem appropriate, provided that:
The communication is truthful and not misleading regarding Noctorial's products.
Noctorial's trade names, trademarks, domains, or creative designs are not used without express authorization.
No spam, unsolicited mass distribution, or advertising through channels that violate applicable advertising regulations are carried out.
No misleading advertising is conducted, promising results, yields, or benefits other than those actually offered by Noctorial.
Non-compliance with this section may lead to the consequences set forth in Section 11.
13. Program Modifications and Cancellation
Noctorial reserves the right to modify, suspend, or cancel the Program, as well as any of its conditions (including commission percentages, level thresholds, minimum withdrawal limits, or payment methods), at any time and without prior notice.
Modifications will be published in the "Refer and Earn" section of the Axcera dashboard and/or on the Program's Terms and Conditions page, and will take effect upon publication. Commissions already accrued prior to the modification will not be affected.
14. Data Protection
Personal data processed within the framework of the Program will be managed in accordance with Noctorial's Privacy Policy, available at https://noctorial.com/privacy, and in compliance with Regulation (EU) 2016/679 (GDPR) and applicable Spanish legislation.
15. Governing Law and Jurisdiction
These Terms are governed by Spanish law. For the resolution of any dispute arising from their interpretation or application, the parties submit to the competent Courts and Tribunals in accordance with applicable regulations.
16. Acceptance
Participation in the Program implies full acceptance of these Terms. The participant declares that they have read, understood, and accepted all its conditions.
